1. The service
Paprclipr is a platform that helps people list items, discover nearby offers, match, chat, and arrange item-for-item barter trades. Paprclipr is not a party to trades between users and does not take custody of items or process payments for swaps.
2. Eligibility
You must be legally able to form a binding contract in your jurisdiction and meet any minimum age required by the app stores and applicable law (and not be a child under 13). You are responsible for compliance with local laws when listing, trading, or meeting.
3. Accounts
- Provide accurate account information and keep it updated
- Keep your login credentials secure; you are responsible for activity under your account
- One person/entity per account unless we expressly allow otherwise
- We may suspend or terminate accounts that violate these Terms or create risk
4. Barter-only marketplace
Paprclipr is designed for non-cash item trades. You agree not to use the platform primarily as a cash marketplace, payment broker, or escrow service. Optional paid features (if offered later) are separate from the value exchanged in a barter trade.
5. Your content
You retain ownership of content you submit (photos, text, messages). You grant Paprclipr a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute that content as needed to operate and promote the service. You represent you have the rights to the content you post and that it does not infringe others’ rights.
6. Acceptable use
You agree not to:
- Post illegal, stolen, counterfeit, hazardous, or recalled items
- List weapons, drugs, adult sexual content, or other prohibited categories we publish
- Harass, threaten, defraud, or exploit other users
- Scrape, reverse engineer, or disrupt the service or its security
- Create fake accounts, manipulate likes/matches/reviews, or spam
- Use Paprclipr to facilitate money laundering or other unlawful activity
- Upload malware or attempt unauthorized access to systems or data
7. Meetups & risk
Users arrange handoffs themselves. Exercise caution: meet in public places, tell a friend, verify items before completing a trade, and trust your instincts. Paprclipr does not guarantee item condition, user identity, or trade outcomes.
8. Moderation
We may remove content, limit features, or suspend accounts that violate these Terms or our community guidelines. Reporting and blocking tools are provided to help you manage interactions; we are not obligated to take any particular action on a report.
9. Intellectual property
The Paprclipr name, logo, app, website design, and related branding are our property (or our licensors’). You may not use them without permission except as needed to use the service.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAPRCLIPR AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR ITEMS ARISING FROM YOUR USE OF THE SERVICE OR TRADES WITH OTHER USERS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50.
12. Indemnity
You agree to defend and indemnify Paprclipr against claims arising from your content, your trades, your meetups, or your violation of these Terms or applicable law.
13. Changes & termination
We may update these Terms and the service over time. Continued use after changes become effective constitutes acceptance. You may stop using Paprclipr at any time. We may discontinue features or the service with reasonable notice when practical.
14. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law rules, unless mandatory consumer protections in your country provide otherwise. Update this clause with counsel for your entity and launch markets.
